Xerxes’ practice covers all areas of corporate law, joint ventures, securities laws, private equity investments as well as restructuring and issues of regulatory compliance, corporate governance and corporate social responsibility.

Xerxes has worked with companies globally across diverse sectors including technology, media and communications; energy and infrastructure and automobile etc. Xerxes’ experience has ranged from advising listed and unlisted companies (from both buy and sell sides) on domestic transactions, foreign investment into India as well as on outward investment from India. He has advised private equity funds in relation to their investments in, and exits from, portfolio companies in India, as well as on restructuring existing portfolio investments in India.


Additionally, Xerxes has advised various financial institutions in relation to lending against commodities as well as advised commodity traders in relation to structuring the purchase of commodities.  His experience also includes advising clients on different aspects of Indian legal compliance requirements and he has advised clients in relation to corporate social responsibility, including setting up charitable foundations of various types and related regulatory requirements.
Prior to joining BTG, Xerxes was a Partner at Wadia Ghandy, a leading law firm in India and has read law from the Government Law College, Mumbai.

​Indian Special Situations Fund

Advised in relation to their investment into a company acting as a holding company for Indian cement manufacturers and advised them on restructuring their investment prior to a proposed initial public offering of the holding company.

Leading German company

Advised on the buy-out of its Indian joint venture partner from an Indian joint venture company providing manufacturing solutions for machine tools, electronics and related activities.

Several international and Indian private equity funds

Advised in relation to their investment into an airports holding company in India, then advised the private equity funds in relation to a dispute with the founder shareholder on their exit from the company including advising in relation to arbitration proceedings commencing against the founder shareholder, thereafter advising the private equity finds in relation to a restructuring of their investments and subsequently exit from the company. 

International private equity fund

Advised in relation to its investment into a company providing financial infrastructure and services to mutual funds and financial institutions in India. Also advised in relation to its exit from the company. Advised the remaining shareholders in relation to a subsequent investment made by an American private equity fund into the same company. 

Advised an Indian container terminal operator

Advised an Indian company developing, owning and operating a container terminal in a minor port in India. 

Leading student housing provider

Advising on the acquisition of the student hostel assets as well as the provision thereafter of hostel services to students at the relevant campuses.

Multiple banking companies

Advised in connection with loan facilities proposed to be granted to winning bidders of tenders floated by the National Highways Authority of India for the construction, operation and maintenance of highway projects in India
